✅ Step 1: Preparations – choosing a name, board of directors and share capital

Before you start the registration process, you must:

  • Choose a company name (must include “AS”)
  • Decide on the board of directors and shareholders
  • Ensure a minimum share capital of NOK 30,000
  • The limited company must also have a Norwegian physical business address.

✅ Step 2: Incorporate the limited company

The company is incorporated by drawing up and signing:

  • Memorandum of Association
  • Articles of Association

The easiest way to do this is electronically via Altinn, which automatically checks compliance with legal requirements.

✅ Step 3: Pay in the share capital

The share capital is paid into a separate share capital account at a bank.

The bank confirms the payment, which must be submitted with the registration.

✅ Step 4: Register the limited company with the Brønnøysund Register Centre

Once everything is ready, the company is registered via the Coordinated Register Notification in Altinn.

The entire board signs electronically.

Once the registration has been approved, the company receives:

  • A company registration number
  • Legal entity status

Once registered, the company must:

  • Submit a tax return
  • Where applicable, register for VAT
  • Submit an a-melding if the company has employees.
